Acceptance of Terms
By accessing or using the Afiniti Global website at afinitiglobal.com and any services provided by Afiniti Global ("we," "our," or "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to all of these Terms, you must not access or use our website or services. These Terms apply to all visitors, users, clients, and others who access or use our website and services. We reserve the right to modify these Terms at any time. Continued use of our website and services after any changes constitutes your acceptance of the revised Terms.
Description of Services
Afiniti Global provides software development and technology consulting services, including but not limited to:
- AI agent development and deployment, including custom autonomous systems, chatbots, and workflow automation.
- Mobile application development for iOS and Android platforms using native and cross-platform technologies.
- Web application and SaaS platform engineering, including full-stack development, API design, and cloud infrastructure.
- Process automation and systems integration for enterprise workflows.
- AI integration and fine-tuning services, including large language model implementation and custom model training.
- Cloud infrastructure, DevOps, and ongoing technical support services.
The specific scope, deliverables, timeline, and terms for any engagement are defined in a separate Statement of Work (SOW) or project agreement mutually agreed upon by both parties. These Terms govern your general use of our website and form a baseline for our service relationship.
Intellectual Property
All content on the Afiniti Global website, including text, graphics, logos, icons, images, audio clips, digital downloads, and software, is the property of Afiniti Global or its content suppliers and is protected by international copyright, trademark, and other intellectual property laws.
For client projects, intellectual property rights are governed by the specific project agreement or Statement of Work. Unless otherwise specified in writing:
- Upon full payment, clients receive ownership of the custom code, designs, and deliverables created specifically for their project.
- Afiniti Global retains ownership of proprietary tools, frameworks, libraries, and reusable components that existed prior to or were developed independently of the client project.
- Afiniti Global retains the right to use general knowledge, techniques, and methodologies gained during the engagement for future projects.
- We reserve the right to showcase completed projects in our portfolio with client approval, unless restricted by a non-disclosure agreement.
Payment Terms
Payment terms are specified in each project's Statement of Work. The following general terms apply unless otherwise agreed in writing:
- A non-refundable deposit is required before work begins. The typical deposit is 30 to 50 percent of the total project cost.
- Remaining payments are structured as milestone-based installments tied to specific deliverables outlined in the project agreement.
- Invoices are due within 14 days of issuance unless otherwise specified. Late payments may incur a fee of 1.5 percent per month on the outstanding balance.
- If payment is more than 30 days overdue, we reserve the right to pause work on the project until the account is brought current.
- All prices are quoted in US dollars unless otherwise specified. Clients are responsible for any applicable taxes, duties, or fees imposed by their jurisdiction.
Limitation of Liability
To the fullest extent permitted by applicable law, Afiniti Global shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising out of or in connection with your use of our website or services.
Our total aggregate liability for any claims arising out of or relating to our services shall not exceed the total amount paid by you to Afiniti Global for the specific services giving rise to the claim during the 12 months preceding the claim.
We provide our website and content on an "as is" and "as available" basis without warranties of any kind, either express or implied. We do not guarantee that our website will be uninterrupted, secure, or error-free. While we strive for accuracy, we make no warranties regarding the completeness, reliability, or accuracy of any content on our website.
Confidentiality
Both parties agree to maintain the confidentiality of any proprietary or confidential information shared during the course of an engagement. This includes business plans, technical specifications, pricing, user data, and any information designated as confidential. Confidentiality obligations survive the termination of any agreement for a period of 2 years, unless otherwise specified in the project agreement. We will enter into a formal Non-Disclosure Agreement (NDA) upon request.
Termination
Either party may terminate a service engagement by providing written notice as specified in the project agreement. In the event of termination, the client is responsible for payment of all work completed up to the date of termination. Any deliverables completed and paid for will be transferred to the client. We reserve the right to terminate access to our website for any user who violates these Terms or engages in conduct that we determine to be harmful to our business or other users.
Governing Law
These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Afiniti Global operates, without regard to its conflict of law principles. Any disputes arising out of or in connection with these Terms shall first be attempted to be resolved through good faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in accordance with the rules of the applicable arbitration association. Each party shall bear its own costs of arbitration unless the arbitrator determines otherwise.
